Overview
These Terms apply to your use of lyovalabs.com (the "Site") and to every purchase from Lyova Labs ("we", "us", "our"). By using the Site or placing an order, you agree to these Terms and to the policies they refer to. Our store is hosted on Shopify.
IMPORTANT: SECTION 13 REQUIRES DISPUTES TO BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION, NOT BY JURY TRIALS OR CLASS ACTIONS, UNLESS YOU OPT OUT.
1. Eligibility
You must be at least 18 years old, or the age of majority where you live, to order from the Site. You buy our products for your own personal or household use, not for resale or export.
2. Using the Site
You agree not to use the Site for any unlawful purpose, to submit false information, to upload malicious code, to scrape or copy the Site, to harass others or to infringe anyone's rights. We may refuse service, cancel orders or end access to the Site at any time, including for violations of these Terms. If you send us reviews, comments or ideas, we may use, edit and publish them. We are not responsible for third-party websites or tools linked from the Site.
3. No Medical Advice
Information on the Site is for general information only. It is not medical advice and does not replace advice from a qualified healthcare provider; consult your healthcare provider before using any supplement. These statements have not been evaluated by the Food and Drug Administration. Our products are not intended to diagnose, treat, cure, or prevent any disease. Your results may vary depending on factors unique to you, and we do not guarantee that you will reach your health or wellness goals. Information on the Site may contain errors, and we may update it at any time.
4. Orders
Your order is an offer to buy. A contract is formed only when we send you an order confirmation email. We may decline or cancel any order, limit quantities, and limit or cancel orders placed with the same name, email address, payment card or shipping address.
5. Prices and Payment
Prices may change without notice. You pay the price in effect when you place your order, as shown in your order confirmation. Shipping is included in all prices; applicable taxes, where required, are added to your total. We may correct pricing or other errors and cancel orders affected by them. By paying, you confirm that you are authorized to use your payment method. We and our payment providers may receive updated card details from your card issuer.
6. Subscriptions and Automatic Renewal
If you choose a subscription, it renews automatically and you are charged for each delivery at the price and delivery interval shown at checkout, plus applicable taxes, until you cancel. TO AVOID YOUR NEXT CHARGE, CANCEL AT LEAST 24 HOURS BEFORE YOUR NEXT BILLING DATE IN YOUR CUSTOMER PORTAL OR BY EMAILING SUPPORT@LYOVALABS.COM. Requests received after that apply to the following billing period. We may decline to renew any subscription. See our Subscription & Cancellation Policy.
7. Shipping
Shipping is free on all orders. Processing and delivery times are estimates; see our Shipping Policy. Title and risk of loss pass to you when we hand your order to the carrier.
8. Refunds
Refunds are governed by our Refund Policy. In short: your first order is covered by our 30-day money-back guarantee, once per customer, if you email support@lyovalabs.com with your order number within 30 days of delivery. Subscription renewals and later orders are not refundable, and a refund of a subscription order also cancels that subscription.
9. Emails and Notices
You agree to receive emails from us at the address you give us, including order, subscription and renewal notices, and agree that these meet any legal requirement for written communication. We may also give notice by posting on the Site. To give us legal notice, email support@lyovalabs.com.
10. Disclaimer of Warranties
EXCEPT WHERE PROHIBITED BY LAW, THE SITE AND OUR PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." LYOVA LABS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. We do not guarantee that the Site will be uninterrupted, secure or error-free.
11. Limitation of Liability
EXCEPT WHERE PROHIBITED BY LAW, LYOVA LABS AND ITS OWNERS, EMPLOYEES, SUPPLIERS AND SERVICE PROVIDERS ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS OR DATA, ARISING FROM YOUR USE OF THE SITE OR OUR PRODUCTS. OUR TOTAL LIABILITY TO YOU WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE LAST 12 MONTHS OR $100, WHICHEVER IS GREATER. If you live in New Jersey, this section does not apply to you. In other states that restrict these limits, they apply only as far as the law permits.
12. Indemnification
You agree to indemnify and hold Lyova Labs harmless from claims and damages that result from your breach of these Terms or your violation of law or the rights of others.
13. Governing Law and Arbitration
These Terms are governed by the laws of the State of Wyoming. ANY DISPUTE OR CLAIM RELATING TO THESE TERMS, OUR POLICIES, OUR MARKETING OR OUR PRODUCTS WILL BE RESOLVED BY BINDING, CONFIDENTIAL ARBITRATION ON AN INDIVIDUAL BASIS BEFORE A SINGLE ARBITRATOR OF THE AMERICAN ARBITRATION ASSOCIATION UNDER ITS CONSUMER ARBITRATION RULES. YOU WAIVE ANY RIGHT TO A JURY TRIAL AND TO TAKE PART IN A CLASS OR REPRESENTATIVE ACTION. The Federal Arbitration Act governs this section. The arbitrator decides whether a claim must be arbitrated and may award any remedy available in an individual court case. If part of this agreement to arbitrate cannot be enforced for a particular claim, only that claim goes to court. We may bring claims about our intellectual property in the state or federal courts of Wyoming. You may opt out of arbitration within 30 days of your purchase by emailing support@lyovalabs.com with your name, your order number and your intent to opt out.
14. Force Majeure
We are not liable for delays or failures caused by events beyond our reasonable control, such as natural disasters, pandemics, strikes, carrier delays, outages or government action.
15. General
Our Privacy Policy explains how we handle personal information. These Terms, our policies and your order confirmation are the entire agreement between you and us. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a right is not a waiver. You may not assign your rights under these Terms without our written consent, and no third party has rights under them. We may update these Terms by posting a new version on the Site; your continued use of the Site after a change means you accept it.
